Disposal of Cementir Italia, approval of the Italian Antitrust Authority to Italcementi

The Italian Antitrust Authority authorizes the disposal of Cementir Italia S.p.A. and its subsidiaries to Italcementi S.p.A.

Closing expected in the first days of January 2018

Rome, 20 November 2017 – On Friday 17 November, the Italian Antitrust Authority (“AGCM”), upon the conclusion of the enquiry with regard to the sale to Italcementi S.p.A. of Cementir Italia S.p.A. and its subsidiaries Cementir Sacci S.p.A. and Betontir S.p.A., notified Italcementi the clearance required to proceed with the proposed transaction. After the closing, Italcementi will be required to adopt certain structural remedies, consisting of the divestiture of some plants, and behavioral measures. Italcementi will select the facilities to be divested among those identified by AGCM, which has established precise alternative solutions, with specific timeframes and procedures. Closing of the transaction is expected in the first days of January 2018, once all requirements and respective preliminary obligations provided for in the agreement with Italcementi S.p.A. are fulfilled.
